These Terms of Use ("Terms") govern your access to and use of the VanillaHorizon® website (the "Site"). By accessing or using the Site, you agree to these Terms.

1) Who we are

The Site is operated by VanillaHorizon Pty Limited (ABN 45 117 536 259) ("VanillaHorizon", "we", "us", "our"). We trade under the brand VanillaHorizon®.

2) No advice, no reliance, no client relationship

The Site provides general information about our services and methodology only. Nothing on the Site constitutes financial product advice, investment advice, legal advice, tax advice, accounting advice, or any other professional advice.

You must not rely on the Site as the basis for any decision. You should obtain independent advice appropriate to your circumstances. No client relationship is created by using the Site or submitting an enquiry unless and until we both sign a written engagement agreement (or we provide written acceptance that explicitly states it is binding).

3) Enquiries are not instructions to act

If you contact us through the Site, your message is treated as an enquiry only. We are not obliged to assess your request, provide analysis, provide recommendations, or commence any work unless a written scope and commercial terms have been agreed.

4) Illustrative examples and no performance claims

The Site may include illustrative examples, composites, frameworks, or "case types". They are provided to show how engagements may be structured and do not represent performance claims or guarantees of outcomes. Any forward-looking statements are inherently uncertain and may not be achieved.

5) Acceptable use

• Do not use the Site unlawfully or in a way that interferes with its operation or security.
• Do not attempt to access restricted areas, source code, or data.
• Do not scrape, copy, or reproduce Site content at scale.
• Do not misrepresent your identity, affiliation, or authority.

6) Intellectual property and trademarks

All content on the Site (including text, graphics, templates, frameworks, and design elements) is owned by or licensed to VanillaHorizon and is protected by intellectual property laws.

Trademarks: VanillaHorizon® and Thinking in Motion® are registered trademarks. You must not use our trademarks without prior written consent.

You may view and print pages from the Site for your internal reference only. You must not reproduce, distribute, publish, sell, or create derivative works from the Site content without written permission.

7) Proprietary engine and methodology

VanillaHorizon’s modelling systems, frameworks, and tools (including any "financial engine", scenario tooling, or decision systems) are proprietary. Any access to our engine or tools—if offered—is provided only under a written engagement agreement, is limited to the engagement scope and timeframe, and does not grant any perpetual licence or general right of use.

You must not reverse engineer, copy, reproduce, or repurpose any proprietary tool, model structure, or methodology.

8) Deliverables, scope, and change control

Where services are provided, the only binding description of scope, deliverables, timelines, fees, and usage rights will be the signed engagement agreement (including any Statement of Work). Any request outside scope requires a written change order, new engagement, or retainer arrangement.

9) Third-party links

The Site may contain links to third-party sites. We do not control and are not responsible for their content, security, or practices. Access them at your own risk.

10) Disclaimers

To the maximum extent permitted by law, the Site is provided "as is" and "as available". We make no warranties that the Site will be uninterrupted, error-free, or free of harmful components.

11) Limitation of liability

To the maximum extent permitted by law, VanillaHorizon will not be liable for any loss, damage, cost, or expense (including indirect or consequential loss) arising from your use of (or inability to use) the Site, reliance on Site content, or any unauthorised access to information transmitted via the Site.

Where liability cannot be excluded, our liability is limited (at our option) to resupplying the information or services, or paying the cost of doing so.

12) Indemnity

You agree to indemnify and hold harmless VanillaHorizon from any claims, losses, liabilities, and expenses arising from your breach of these Terms or misuse of the Site.

13) Privacy

Our handling of personal information is described in our Privacy Policy.

14) Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on the Site with a new "Last updated" date. Your continued use of the Site constitutes acceptance of the updated Terms.

16) Governing law
